Terms of Service
Overview
These Terms govern your engagement with Clips. By signing a proposal, making a payment, or entering into a written agreement with us, you accept these Terms.
Clips is a creative and advertising agency based in Sydney, Australia. We work with nonprofits and mission-driven organisations across three service categories: done-for-you agency services, content education, and consulting.

Services
Done-for-You Agency
This covers full-service ad account management, creative strategy, campaign execution, and on-location video production. The scope, deliverables, timeline, and pricing for each engagement are defined in a separate proposal or agreement. No work begins without a signed agreement or confirmed deposit.
Content Education and Workshops
This covers group workshops, digital courses, and educational content on advertising, content strategy, and creative production. Workshop materials and frameworks shared in sessions remain the intellectual property of Clips. Results from workshop content depend entirely on your implementation — we do not guarantee specific outcomes.
Consulting
One-on-one advisory sessions focused on your specific situation. Consulting is advisory only. We share strategy and perspective based on our experience and knowledge. We are not liable for decisions you make or outcomes that result from consulting sessions.
Payment
Retainers are billed monthly in advance. Invoices are due on the date stated. Late payment may result in paused or suspended services.
Production projects require a 50% deposit before work commences. The remaining balance is due upon project completion or as outlined in your agreement.
Workshop and consulting fees are due in full prior to the session or delivery of materials unless otherwise agreed.
We reserve the right to pause or terminate services if an invoice remains unpaid for more than 14 days without prior arrangement.
Refunds
Retainer fees are non-refundable once the billing period has commenced.
Production deposits are non-refundable once production planning or shooting has begun. If Clips cancels a production, your deposit will be refunded in full.
Workshop fees are non-refundable unless the workshop is cancelled by Clips.
Consulting fees are non-refundable once a session has taken place.
Intellectual Property
Creative assets produced specifically for your organisation — including ad content, video footage, and campaign materials — become your property upon receipt of full payment.
Strategy documents, methodologies, frameworks, templates, and educational materials developed by Clips remain the intellectual property of Clips regardless of whether they were shared or discussed during an engagement.
Ad Account Access
For agency clients, we require admin or partner access to your advertising accounts. You are responsible for maintaining the accuracy of any data, budgets, or permissions you give us. We are not liable for errors caused by incorrect access settings or platform changes outside our control.
Performance Disclaimer
Advertising results depend on factors outside our direct control, including platform algorithms, audience behaviour, market conditions, seasonal trends, and creative quality. We do not guarantee specific fundraising outcomes, ROAS targets, or donation volumes. We commit to doing our best work with the resources and access available.
Confidentiality
Both parties agree to keep each other's sensitive business information confidential. We will not disclose your ad performance data, donor information, campaign strategies, or internal business details to any third party without your permission, except to team members who require it to deliver the work.
Scope Changes
Any work that falls outside the agreed scope requires a separate agreement or written confirmation from both parties. Clips reserves the right to decline out-of-scope requests or charge additionally for them.
Termination
Either party may end an ongoing retainer or engagement with 30 days written notice. Immediate termination may apply if either party materially breaches these Terms and fails to remedy the breach within 7 days of written notice.
Upon termination, all outstanding invoices become immediately due.
Limitation of Liability
To the maximum extent permitted by Australian law, Clips is not liable for any indirect, consequential, or incidental loss or damage arising from our services. Our total liability in any engagement is limited to the fees paid for the specific service in question.
Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes will be resolved under NSW jurisdiction.
